Terms of Service

Effective date: 1 June 2025

By accessing or using the Optera ERP platform ("Platform") provided by Optimasys Solutions, you agree to these Terms.

Use of the platform

We grant you a limited, non-exclusive licence to use the Platform to manage your business operations — including sales, procurement, inventory, finance, and reporting — during your active subscription. You may not resell, sublicense, reverse engineer, or misuse the Platform in any way that violates applicable law or harms others.

Your account

You are responsible for keeping your account credentials secure and for all activity performed under your organisation's account. You control which users have access and what roles they are assigned. Notify us immediately at info@optimasyssolutions.com if you suspect unauthorised access.

Your data

You retain ownership of all business data you enter into the Platform. You grant us a limited licence to store, process, and back up that data solely to provide the ERP service. You are responsible for ensuring that data entered into the Platform is accurate and that your use of the Platform complies with applicable laws.

Acceptable use

The Platform is intended for legitimate business operations. You must not use it to process fraudulent transactions, circumvent financial regulations, store prohibited content, or disrupt the service for other users.

Fees & payment

Subscription fees are as agreed at the time of onboarding. Fees are invoiced and payable as specified in your subscription agreement. We may update pricing with 30 days' written notice. Persistent non-payment may result in suspension or termination of your account.

Intellectual property

The Platform and all associated software, designs, and content remain the exclusive property of Optimasys Solutions. These Terms do not transfer any intellectual property rights to you.

Liability

The Platform is provided "as is." To the extent permitted by law, Optimasys Solutions is not liable for indirect or consequential damages arising from your use of the Platform, including losses resulting from data entry errors or system downtime. Our total liability shall not exceed the fees you paid in the three months preceding any claim.

Termination

Either party may terminate with 30 days' written notice. We may suspend access immediately for breach of these Terms or non-payment. Your data will be available for export for 30 days after termination, after which it will be deleted in accordance with our Privacy Policy.

Governing law

These Terms are governed by the laws of the Republic of Zimbabwe.
